Position Title: Corporate Paralegal
Department: Legal
Location: Billerica, MA
Position Summary:
The successful candidate will provide support to the Senior Vice-President and General Counsel of the Corporation. The individual must be able to perform paralegal assignments that are varied and complex in nature.
Essential Job Duties:
Conducts routine and specific legal and factual informational research and data compilation, as directed by attorneys. Draft legal documents and correspondence for attorney review.
Drafts and edits legal position statements for attorney review pertaining to various specific policies, operational practices, and/or transactions.
Perform other support functions for the Vice President and General Counsel such as proofreading, redlining, and preparing indices for documents, organizing and maintaining reference materials and databases.
Conduct corporate due diligence investigations, filings, financial statements and other documents.
Preparation and negotiation of standard non-disclosure agreements, test site agreements and consulting agreements.
Supervision and coordination of preparation and distribution of informational materials to the Board of Directors.
Support of corporate merger and acquisition activities.
Preparation and maintenance of minutes and other corporate documentation for domestic and foreign subsidiaries.
Drafting and filing of Forms 3,4, 5 and 144 with the SEC.
Specifications (Knowledge, Skills and Abilities)
High computer literacy including Windows 95/97, MS Word, Excel and PowerPoint experience required.
Ability to utilize legal reference publications and computer databases.
Strong interpersonal skills, work ethic, professional demeanor, and personal initiative required.
Strong corporate paralegal experience is a critical skill.
Must be flexible, organized, and able to handle multiple tasks simultaneously.
Strong proof reading skills are required.
High degree of independent analysis and judgement.
Excellent written and oral communication skills.
Education/Experience:
Two to five years experience plus college degree/paralegal degree from an ABA accredited paralegal program, or equivalent experience/education required.

Physical Demands: This position may require extended periods of time at a computer screen and on the phone. Specific vision abilities required by this job include vision, peripheral vision, and ability to adjust focus. The employee must occasionally lift and/or move up to 10 pounds.
